Job Description
We are partnered with a fast-growing biopharmaceutical company based in South Florida that is seeking a detail-oriented Corporate Counsel to support its corporate governance, M&A, and securities functions. This position reports directly to the General Counsel and will collaborate cross-functionally to ensure alignment between company policies and public disclosures.
Responsibilities
- Draft and review SEC filings (10-K, 10-Q, 8-K, proxy statements, etc.) and coordinate with internal and external stakeholders.
- Provide legal counsel on corporate, employment, M&A, and investor relations matters.
- Support contract lifecycle management, including drafting, negotiating, and interpreting a variety of agreements.
- Collaborate with HR, Finance, and other departments on compliance, equity compensation, and audit-related issues.
- Assist with IP portfolio management and ensure timely filings in coordination with external counsel.
Qualifications
- Juris Doctor (JD) from an accredited law school; licensed and in good standing with any U.S. state bar.
- Minimum of 5 years of legal experience in capital markets, M&A, debt finance, or corporate law at a top-tier law firm.
- Prior in-house legal experience is highly preferred.
- Strong expertise in corporate governance, securities law, and contract negotiation.
- Proven ability to manage complex legal matters across multiple business functions.
